Terms and Conditions of Sale

Article 1 — Purpose
These General Terms and Conditions of Sale (T&Cs) govern the contractual relationship between PUSH SASU (hereinafter "PUSH") and any professional (hereinafter "the Customer") subscribing to the PUSH wallet marketing platform.
PUSH is a SaaS solution that allows merchants to create and distribute digital loyalty cards (Apple Wallet, Google Wallet), send geolocated push notifications, and manage customer relationships through a dedicated dashboard.

Article 3 — Services offered
PUSH offers the following services:
- Creation and customization of digital loyalty cards (Apple Wallet and Google Wallet)
- Distribution of cards via QR code and/or NFC plate
- Sending of push notifications to cardholders
- Geolocated notifications based on proximity to the business
- Pre-configured marketing automations (welcome messages, birthdays, re-engagement, etc.)
- Loyalty program with digital stamps
- Dashboard with analytics and customer management
Article 4 — Pricing and payment terms
Current rates are as follows:
- Option A: €299 excl. VAT setup fee + monthly subscription based on chosen plan
- Option B: €0 setup + €149.90 excl. VAT/month with 12-month commitment
- NFC plate: €49 excl. VAT per plate. Custom design: +€25 excl. VAT
Payments are made by credit card via our secure payment provider Square. Invoices are issued monthly and sent by email.
Any late payment will result in late payment penalties at a rate of 3 times the legal interest rate, plus a fixed indemnity of €40 for collection costs.
Article 5 — Term and termination
The subscription is taken out for an indefinite period (Option A) or for a 12-month period (Option B). In the case of Option B, the contract is tacitly renewed for successive one-month periods, unless terminated by either party with 30 days' notice.
In the event of early termination of Option B, the remaining monthly installments until the end of the 12-month commitment remain due.
PUSH reserves the right to suspend or terminate access to the service in case of non-payment, abusive use or violation of these T&Cs.
Article 6 — Right of withdrawal
In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to contracts for the supply of digital content not provided on a tangible medium whose execution has begun with the consumer's consent.
These T&Cs being intended exclusively for professionals (B2B), the right of withdrawal provided for by the Consumer Code does not apply.
Article 7 — Customer obligations
The Customer agrees to:
- Provide accurate and up-to-date information at registration
- Use the service in accordance with its purpose and applicable laws
- Not send abusive, misleading or unsolicited notifications
- Comply with GDPR when collecting and using their customers' data
- Not attempt to bypass the platform's security measures
Article 8 — Liability
PUSH undertakes to provide the service with diligence and according to industry standards. PUSH cannot be held liable for indirect damages, data loss, loss of profit or service interruptions resulting from circumstances beyond its control (force majeure, network failures, scheduled maintenance).
PUSH's total liability is limited to the amount actually paid by the Customer over the 12 months preceding the event giving rise to the damage.
Article 9 — Intellectual property
The PUSH platform, including its source code, interface, algorithms and documentation, is the exclusive property of PUSH SASU. The Customer benefits from a non-exclusive, non-transferable and non-assignable right of use for the duration of their subscription.
The Customer retains ownership of their data, content and visuals uploaded to the platform.
Article 10 — Data protection
PUSH processes personal data in accordance with the General Data Protection Regulation (GDPR). Data is hosted within the European Union. PUSH acts as a processor of data collected by the Customer through the platform.

Article 11 — Service availability
PUSH commits to maintaining a service availability of 99.5% per month (excluding scheduled maintenance). Scheduled maintenance is subject to 48 hours' prior notice.
Article 12 — Applicable law and jurisdiction
These T&Cs are governed by French law. Any dispute relating to their interpretation or execution will be submitted to the exclusive jurisdiction of the courts of Paris, including in case of summary proceedings, multiple defendants or third-party claims.
Article 13 — Acceptance
Subscribing to a PUSH plan implies full and complete acceptance of these Terms and Conditions of Sale. The Customer acknowledges having read all the above provisions and accepts them without reservation.
